Parent Company: FutureHuman Technology Private Limited (“FutureHuman”, “Company”, “we”, “us”, “our”) — Registered HQ: Gurugram (Haryana), INDIA. Brand/Service: aipe (aipe.club, aipe applications, SDKs, APIs, and associated products). The Privacy Policy is incorporated by reference.

1. Acceptance of Terms

  • Using the Services means you agree to these Terms; if not, do not use the Services.
  • If you use on behalf of an entity, you represent you’re authorized to bind it.
  • We may modify Terms; continued use after posting equals acceptance.

2. Eligibility; Territory; Capacity

  • Competent to contract (India: typically 18+); not otherwise disqualified.
  • Features may be limited by territory/regulatory/bank partner availability.
  • Regulated features (UPI, RuPay on UPI, CLUPI, e-mandates, KYC/eSign) require eligibility and partner terms.

3. Services and Scope

  • UPI rails (send/receive, QR, collect, bill pay/recharges, AutoPay/e-mandates, UPI Lite, Tap & Pay, balance check/UPI PIN mgmt); aipe Wallet, Future Wallet, budgeting/insights, Trip & Event with Trip Wallet, trust layer (AI MoUs, reminders, audit trails); partner credit lines/cards (CLUPI, RuPay); loyalty, referrals, analytics, risk scoring, AI-assisted UX.
  • We are a technology facilitator; not a bank/NBFC/payment bank/insurer.
  • Beta/preview features may be modified/withdrawn and may have extra terms.

4. Registration; KYC; Authentication

  • Provide accurate, current, complete info; keep it updated.
  • KYC/eSign and verification may include PAN, Aadhaar/VID via licensed providers, selfie/liveness, documents.
  • Authentication may include OTPs, device binding, passcodes, biometrics, and partner flows (UPI PIN handled by bank/NPCI).

5. Fees, Taxes, and Charges

  • Fees/MDR/subscriptions/charges may apply and can change with required notice.
  • Updated fees may be shown in-app, web pages, or feature screens.
  • You’re responsible for applicable taxes, levies, and network fees (if any).

6. User Obligations; Acceptable Use

  • Use lawfully; comply with Terms and Applicable Law; keep device/account secure; ensure info is true.
  • No IP/privacy violations, disruption, impersonation, illegal/fraud/high-risk activity, reverse engineering, bypassing security, malware, data harvesting, or network rule breaches.

7. Trust Layer; MoUs; Mandates; Collections

  • AI-assisted MoUs/e-sign are templates for convenience; not legal advice.
  • E-mandates/AutoPay follow NPCI/bank rules; subject to payer consent and partner processes.
  • Reminders/nudges may be sent via permitted channels; communications preferences may be adjusted where available.
  • Collections conduct is dignity-first and lawful, but follow-ups may occur to facilitate timely payments.

8. Group Features: Trip & Event; Trip Wallet

  • Shared ledgers reflect inputs from participants.
  • Trip Wallet is a facilitation ledger unless expressly regulated via partners.
  • Shortfalls/advances, reimbursements depend on consent, partner rules, and successful execution.

9. Manage You; Future Wallet; Insights

  • Budgeting/planning tools are informational and depend on data.
  • Future Wallet may be facilitation ledger or regulated stored value via partners (additional terms apply).
  • Insights/scores are not financial/tax/legal advice.

10. Credit Lines; Cards; Eligibility

  • Credit lines (including CLUPI) and RuPay cards are partner-issued under partner terms; we facilitate UX.
  • Eligibility/limits/pricing are partner-determined (may include bureau/alt data).
  • Repay on time; late payments may incur interest/fees and affect credit profile.

11. Third-Party Services & Links

Integrations subject to third-party terms; we aren’t responsible for their content/policies. Necessary data may be shared per Privacy Policy and law.

12. Intellectual Property; License; Feedback

  • Services/content are owned/licensed to the Company.
  • Limited, revocable, non-exclusive, non-transferable license to use per Terms.
  • No derivative works or competitive use; feedback license is royalty-free.

13. Data Protection & Security

  • Privacy Policy describes processing; you consent to it by using the Services.
  • We implement reasonable safeguards; you must secure your device and credentials.
  • UPI PIN entry/validation occur with banks/NPCI; we don’t store/process UPI PINs.

14. Marketing; Communications; Consent

  • Service/transactional/security communications are integral.
  • Marketing per law and your choices; opt-outs available where applicable.
  • Electronic records and signatures (including Aadhaar eSign) permitted.

15. Representations; Warranties; Disclaimers

  • AS IS / AS AVAILABLE; no warranties of merchantability/fitness/title/non-infringement or uninterrupted/error-free operation.
  • No warranty of payment completion, credit approvals, uninterrupted access, or third-party data accuracy.
  • AI outputs are probabilistic/informational; not professional advice.

16. Limitation of Liability & No-Refund Policy

16.A Limitation of Liability

  • No liability for indirect/special/consequential damages or lost profits, data, goodwill, or opportunities.
  • Aggregate cap: the greater of INR 10,000 or fees you paid for the paid feature in the prior 6 months (whichever is lower).

16.B No-Refund Policy (Summary)

  • General rule: All fees/charges/amounts are non-refundable/non-reversible to the extent permitted by law.
  • Scope: Refunds only if mandated by law/scheme; when required, refunded to original instrument per banking timelines.
  • Subscriptions: Charged in advance; no pro-rata refunds.
  • Third-party rails: “Debited but failed” reversals are handled by banks/networks (not discretionary refunds).
  • Narrow exceptions: Duplicate charge attributable to us; demonstrable platform error with no benefit; authority-directed refund; successful dispute/chargeback.
  • Procedure: Raise within 7 days to legal@aipe.club / in-app with evidence; timelines depend on banks/networks.
  • Chargebacks/abuse: May trigger suspension/termination and recovery of sums due if resolved in our favour.
  • Statutory rights: Non-waivable consumer rights prevail where applicable.

17. Indemnity

You will defend, indemnify, and hold us harmless from claims/losses arising out of your breach, violations, misuse, data/content you submit, or disputes with third parties.

18. Suspension; Termination

  • We may suspend/terminate for violations, risk/fraud, legal/operational reasons, or discontinuation.
  • You may stop using anytime and request closure (subject to dues/retention).
  • Survival applies to relevant sections.

19. Changes; New Modules; Future Expansion

  • We may enhance/modify/discontinue Services or add features/integrations.
  • We may subcontract/assign/novate to affiliates/qualified third parties; additional terms may apply.

20. Notices

  • We may notify via in-app, email, SMS, WhatsApp, push, or website.
  • Notices to us: per contact details in §24.

21. Force Majeure

We are not liable for delays/failures due to events beyond reasonable control (e.g., disasters, pandemics, network outages, government actions, war, labour disputes, cyberattacks, third-party failures).

22. Governing Law; Dispute Resolution

  • Indian law governs.
  • Arbitration: New Delhi (DIAC), English language, sole arbitrator per DIAC rules.
  • Courts at Gurugram, Haryana for interim/injunctive relief.
  • One-year time limit to bring claims.

23. Miscellaneous

  • Entire agreement: Terms + Privacy + referenced terms.
  • Severability; no waiver; assignment limits (you may not assign without consent; we may assign).
  • Headings are for convenience only; English version controls; export/sanctions compliance required.

25. Definitions

  • Applicable Law: all laws/regulations/rules governing provision/use of the Services.
  • Partners: third parties that enable aspects of the Services (banks, NBFCs, aggregators, networks, KYC/eSign, analytics, hosting, fraud tools).
  • Member Club: paid membership plan providing benefits subject to plan-specific terms.

Schedules (Supplementary Provisions)

Schedule 1 — Acceptable Use Policy

  • No illegal/harmful/exploitative activities or infringement of IP/privacy/publicity rights.
  • No spamming, scraping, harassing communications, or unauthorized probing/scanning/testing.
  • No processing funds for sanctioned persons/activities.

Schedule 2 — Illustrative Fee & Charge Schedule

Platform fees, MDR, Member Club dues, e-mandate setup charges, digital MoU charges, convenience fees, card program fees, late interest/penalties, and other charges as disclosed in-app/on site (subject to updates; the live in-app schedule controls).

Schedule 3 — Communications & Contact Preferences

  • Service/transactional messages are integral.
  • Marketing is opt-in/opt-out per jurisdiction.
  • Collections reminders may be sent via permitted channels; frequency controls may be available.

Schedule 4 — Product-Specific Terms (Illustrative)

  • Member Club: paid plan with eligibility checks; may include CLUPI/RuPay, premium features, priority support.
  • Trip & Event: accuracy of ledgers depends on user inputs; participants remain responsible for settling balances.
  • Manage You / Future Wallet: planning tools; not financial advice; may use rules-based or AI-assisted logic.
  • aipe Wallet: unless expressly designated as regulated stored value via partners, functions as a facilitation ledger.
